Version 1.2 · Effective 2026-10-09
These Terms of Service (the "Terms") are a binding agreement between FACCILIS Enterprise Solutions L.L.C-FZ, a limited liability company formed under the regulations of the Meydan Free Zone, Dubai, United Arab Emirates, formation no. 2653583, licence no. 2653583.01, registered at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. ("Faccilis", "we", "us"), and you, in relation to Convenio (the "Service"), a cloud platform for planning and managing employee attendance at business and professional events, made available at https://convenio.faccilis.com and any related subdomain.
In these Terms:
2.1 Company registration. By ticking the acceptance box during Company onboarding and completing registration, the individual creating the Company accepts these Terms both personally and on behalf of the Company, and represents that they are authorised to bind the Company. The Company cannot be created without that acceptance.
2.2 Invited users. Every other User accepts these Terms when they activate the account created for them by invitation, or, if no separate acceptance step is presented to them, on first use of the Service. An invited User is bound by these Terms in respect of their own use of the Service.
2.3 Record of acceptance. We record each acceptance, with timestamp and account identifier, in our audit log. That record is admissible evidence of acceptance.
2.4 If you do not accept. If you do not accept these Terms, do not register, do not activate an invited account and do not use the Service.
2.5 Business use only — the Service is not offered to consumers. The Service is made available exclusively to organisations, and to individuals acting for purposes within their trade, business, craft or profession, in connection with the events and workforce of the Company that granted them access. It is not offered to, and must not be used by, consumers acting for personal, family or household purposes. By accepting these Terms you represent that you are acting for professional purposes and not as a consumer. We may refuse or terminate any registration that appears to be for personal use.
3.1 Company control. The Company controls its own tenant on the Service. Company Admins invite, configure, suspend, deactivate and anonymise Users, decide what data is entered, and decide who may see it. We act on the instructions of the Company's Company Admins. We are not responsible for how the Company administers its tenant, nor for any decision a Company takes about a User's account, data or events.
3.2 Users' relationship with their Company. If you were invited by a Company, your access exists because that Company granted it and lasts only as long as that Company allows. Your employment, engagement or any other relationship with the Company is between you and the Company; it is not our concern and creates no obligation on our part. Any dispute between a User and their Company is between them.
3.3 Email domains. Accounts must use an email address on a domain whitelisted for the Company. Public webmail domains may be blocked. We may refuse, suspend or reassign a domain claim in our discretion, including where two Companies claim the same domain.
3.4 Changes to the Service. We may add, change, restrict or remove any feature, limit or integration of the Service at any time, with or without notice. We are not obliged to maintain any feature, integration, data format, export or API.
4.1 You must give accurate registration information and keep it current.
4.2 You are responsible for your credentials and for everything done through your account. Do not share credentials. Enable and keep enabled any multi-factor authentication your Company requires.
4.3 Passwords are subject to platform rules, including periodic expiry. Losing access to a second-factor device may require a reset by a Company Admin; where no Company Admin is available we are under no obligation to restore access.
4.4 Notify us without delay of any suspected unauthorised access. We are not liable for any loss arising from unauthorised use of an account, whatever the cause.
You must not, and must not permit any User to:
a. use the Service unlawfully, or in breach of any applicable export, sanctions, data protection or employment law; b. upload data you are not entitled to process, or special categories of personal data (health, biometric, political, religious, trade-union or similar) — the Service is not designed for them; c. attempt to access another Company's tenant or data, probe, scan, penetration-test, reverse engineer, decompile or circumvent any security or tenant-isolation control, or bypass Plan limits; d. upload malware, or use the Service to send unsolicited or unlawful messages; e. impose an unreasonable load on the Service, including through automated access, scraping or bulk requests; f. resell, sublicense, white-label or make the Service available to any third party outside the Company; g. use the Service to build or benchmark a competing product.
We may investigate suspected breaches and take any action we consider appropriate, including immediate suspension, without liability.
6.1 Merchant of record. Paid subscriptions are sold and invoiced through Paddle — Paddle.com Market Limited (England and Wales, company number 8172165) for customers outside the United States, and Paddle.com Inc. for customers in the United States — which acts as merchant of record and is the seller of record towards the Customer. Payment, invoicing, tax collection and payment-dispute handling are governed by Paddle's own terms and privacy policy, which the Customer accepts at checkout. We do not receive or store card data.
6.2 Fees. Fees are those shown on the pricing page or in the Service at the time of purchase, are stated exclusive of any taxes Paddle is required to add, and are charged in advance for each billing period (monthly or annual) and renew automatically until cancelled.
6.3 Plan limits. Each Plan carries limits (users, teams, Company Admins, events per year). Operations that would exceed a limit are refused. Limits, and the Plans themselves, may be changed prospectively; we will give notice under §15 before a change of price applies to an existing paid subscription.
6.4 Plan changes. Upgrades take effect immediately with immediate proration. Downgrades between paid Plans take effect immediately, with unused time credited on the following invoice. Downgrade to the Free Plan takes effect at the end of the period already paid for. Credit arising from a Plan change is applied against future invoices only and is never paid out in cash.
6.5 NO REFUNDS. All fees are non-refundable. No refund, credit or set-off is given for partial billing periods, unused time, downgrades, cancellation, suspension, termination, non-use of the Service, dissatisfaction, downtime, defects, or loss of data or features. This applies to the maximum extent permitted by applicable law. Where a refund is nevertheless mandatory under applicable law, it is limited to the minimum that law requires.
6.6 Non-payment. If payment fails, the payment provider's recovery process applies. During that process the Company's subscription is marked past due and reminders are sent to Company Admins. If recovery fails, access for Team Leads and Event Participants is frozen while Company Admins retain access to billing. We do not delete Customer Data for non-payment, but we are not obliged to retain it indefinitely — see §14.
6.7 Free Plan. The Free Plan is provided at no charge and may be modified, limited or discontinued at any time, for all Companies or for one, without notice, cause or liability. Nothing in these Terms obliges us to continue offering it.
6.8 Taxes. The Customer is responsible for any tax arising in its own jurisdiction that Paddle does not collect.
7.1 Ownership of Customer Data. As between the parties, the Customer owns its Customer Data. The Customer grants us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Customer Data solely to provide, secure, support and improve the Service and to comply with law.
7.2 Customer warranties. The Customer warrants that it has all rights, consents and legal bases needed for Customer Data to be processed through the Service, including in respect of its employees and other individuals whose personal data it enters.
7.3 Our intellectual property. The Service, its software, design, documentation and all related intellectual property remain ours. Nothing in these Terms transfers any ownership. You receive only a limited, revocable, non-exclusive, non-transferable right to use the Service during the term, in accordance with these Terms.
7.4 Feedback. Any suggestion, feedback or idea you give us about the Service may be used by us freely, without restriction, attribution or compensation.
7.5 Aggregated data. We may generate and use anonymised, aggregated statistics derived from use of the Service, provided they do not identify the Customer, any User or any individual.
The Service depends on third parties, including hosting and database infrastructure, the payment provider and the transactional email provider. We are not responsible for the acts, omissions, outages, changes, security incidents, pricing or termination of any third-party service, and no such event gives rise to any liability, credit or refund. Any third-party terms you accept directly are between you and that third party.
9.1 Roles. In respect of personal data in Customer Data, the Customer acts as data controller and we act as data processor. We process personal data on the Customer's documented instructions, which these Terms and the Customer's use of the Service constitute.
9.2 DPA. Our Data Processing Agreement, published at https://convenio.faccilis.com/dpa, forms part of these Terms and is accepted together with them; no separate signature is required. It sets out our obligations as processor, our sub-processors, the technical and organisational measures we apply, and the mechanism covering transfers of personal data outside the European Economic Area. In the event of conflict, the DPA prevails over these Terms on matters of personal data processing — except that §12 (Limitation of liability) prevails over the DPA, and liability under these Terms and under the DPA is subject to a single aggregate cap under §12.2, not to a separate cap for each.
9.3 Hosting. Customer Data is stored at rest in the European Union. Other components of the Service are delivered from outside it — in particular, the application front end is served from a globally distributed network — and some of our sub-processors are established outside the European Economic Area and access data from there. The DPA identifies each case and the transfer mechanisms that apply. We do not commit to any particular country or region for anything beyond storage at rest.
9.4 Individual rights. Requests by individuals to access, correct, delete or export their personal data are handled by the Customer, as controller. Where the Customer instructs deletion of a User's personal data, the Service performs anonymisation rather than physical deletion, in order to preserve the integrity of historical aggregated records. The Customer accepts that anonymisation is the deletion mechanism of the Service.
9.5 Customer's own compliance. The Customer is solely responsible for its own compliance obligations towards its employees and other data subjects, including notices, legal bases and, where required, works council or employee consultation.
10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND DEFECTS.
10.2 To the maximum extent permitted by law, we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, satisfactory quality, accuracy, title, non-infringement, or any warranty arising from course of dealing or usage of trade.
10.3 In particular, we do not warrant that:
a. the Service will be uninterrupted, timely, secure, or free of bugs, defects or errors; b. defects will be corrected, or corrected within any period; c. any data, calculation, report, reminder, notification or email produced by the Service will be accurate, complete, timely or delivered at all; d. the Service will meet the Customer's requirements or expectations; e. any data will be preserved, recoverable or exportable.
10.4 NO SERVICE LEVELS. There is no service level agreement, uptime commitment, support commitment or response-time commitment of any kind. Any support we provide is provided voluntarily, without obligation, and may be withdrawn at any time. We may perform maintenance, and the Service may be unavailable, at any time and without notice.
10.5 Not a system of record. The Service is not a system of record and must not be relied on as the Customer's sole record of any information, including attendance, costs, approvals or communications. The Customer is responsible for maintaining its own independent backups and records. Reminders, notifications and emails are convenience features and must not be relied on for any legal, regulatory, safety or contractual deadline.
The Customer will defend, indemnify and hold harmless Faccilis, its officers, employees and contractors against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or connected with: (a) Customer Data; (b) the Customer's or any of its Users' use of the Service; (c) breach of these Terms by the Customer or any of its Users; (d) any claim by a User, employee, contractor or other individual of the Customer in relation to the Service or to data processed through it; or (e) the Customer's violation of any law or third-party right.
12.1 No indirect loss. To the maximum extent permitted by law, we will have no liability whatsoever for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, goodwill, opportunity, contracts, anticipated savings, data or data use, wasted expenditure, business interruption, or reputational harm, however caused and on any theory of liability (contract, tort including negligence, statute or otherwise), and whether or not we were advised of the possibility of such loss.
12.2 Cap. To the maximum extent permitted by law, our aggregate liability arising out of or in connection with these Terms and the Service, for all claims taken together, will not exceed the lesser of (a) the total fees actually received by us in respect of the Company in the three (3) months immediately preceding the event giving rise to the first claim, and (b) USD 100. Where a Company uses the Free Plan, and in every case where no fees have been received, our aggregate liability is USD 0.
12.3 No damage claims for the listed matters. Without limiting §12.1 and §12.2, we are not liable for: bugs, defects or errors; downtime, unavailability, latency or degraded performance; loss, corruption, deletion or inaccessibility of data; failure, delay or misdelivery of any email, reminder or notification; missed deadlines or missed events; incorrect, incomplete or misleading output, reports or figures; unauthorised access to or disclosure of data not caused by our wilful misconduct; acts or omissions of any third-party provider (§8); acts or omissions of the Customer, its Company Admins or its Users; suspension, freezing or termination carried out in accordance with these Terms; or any change to, or discontinuation of, the Service or any Plan.
12.4 Allocation of risk. The Customer acknowledges that the fees for the Service reflect this allocation of risk, that the Service would not be offered on these commercial terms without it, and that these limitations apply even if any limited remedy is found to have failed of its essential purpose.
12.5 Carve-out. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. Where applicable law does not permit a limitation set out above, that limitation applies to the greatest extent that law permits and the remainder of this §12 is unaffected.
12.6 Time bar. Any claim arising out of or in connection with these Terms or the Service must be brought within six (6) months of the date on which the claim first arose, failing which it is permanently barred, to the extent permitted by law.
12.7 Users. Each User agrees that §12 applies equally to any claim they may have against us in their personal capacity, whatever its basis.
13.1 By the Customer. The Customer may cancel a paid subscription at any time; cancellation takes effect at the end of the period already paid for and §6.5 (no refunds) applies. The Customer may stop using the Free Plan at any time.
13.2 By us. We may suspend or terminate access to the Service, in whole or in part, for any Company or any User, immediately and without liability, where: (a) fees are unpaid; (b) we reasonably suspect a breach of §5; (c) continued provision would expose us to legal, security or reputational risk; (d) required by law or by a third-party provider; or (e) we decide to discontinue the Service or the Free Plan.
13.3 Discontinuation of the Service. We may discontinue the Service entirely on thirty (30) days' notice to Company Admins. In that case the Customer's sole remedy is a pro-rated credit or refund of fees paid for the unexpired part of the then-current paid period, at our option, notwithstanding §6.5. No other compensation is due.
13.4 Effect of termination. On termination, access ceases. Sections 5, 7, 8, 9, 10, 11, 12, 14, 16 and 17 survive.
14.1 The Customer is responsible for exporting its data before termination, using the export features available in the Service at that time. We are not obliged to provide any export, migration or extraction assistance, or any particular data format.
14.2 We may delete or anonymise Customer Data at any time after thirty (30) days from termination. After that period we are under no obligation to retain, restore or provide any Customer Data, and the Customer accepts that it may be permanently unrecoverable.
14.3 We may retain data where required by law, and retain audit, security and billing records for legitimate compliance purposes.
15.1 We may change these Terms at any time. The current version is always published at https://convenio.faccilis.com/terms and is accessible without logging in.
15.2 We will notify Company Admins of material changes by email or in-app notice at least thirty (30) days before they take effect. Non-material changes (clarifications, corrections, changes required by law or by a third-party provider) may take effect immediately.
15.3 Continued use of the Service after the effective date of a change constitutes acceptance of the changed Terms. A Customer that does not accept a change must stop using the Service and cancel before that date; §6.5 (no refunds) applies.
16.1 Governing law. These Terms, and any dispute, claim or obligation arising out of or in connection with them, with the Service, or with their subject matter or formation (including non-contractual disputes, claims and obligations), are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to any conflict-of-law rule that would apply the law of another jurisdiction.
16.2 Exclusive jurisdiction — express opt-in. The parties expressly, irrevocably and unconditionally agree, and hereby opt in to and confer jurisdiction on, the courts of the DIFC ("DIFC Courts") as the exclusive forum for the hearing and determination of any dispute, claim or difference arising out of or in connection with these Terms, the Service, or their subject matter or formation, including any question as to their existence, validity or termination. This agreement on jurisdiction is specific, clear and express, and is made for the purposes of, and constitutes a written agreement conferring jurisdiction under, Article 14(B) of Dubai Law No. (2) of 2025 concerning the Dubai International Financial Centre Courts (and any provision replacing it). It applies irrespective of whether either party, the Service or the subject matter of the dispute has any other connection with the DIFC. Each party:
a. irrevocably submits to the exclusive jurisdiction of the DIFC Courts; b. waives any objection to proceedings in the DIFC Courts on the grounds of venue, inconvenient forum or lack of connection, and any right to have a dispute heard elsewhere; and c. agrees not to commence or continue proceedings in any other court in respect of any such dispute, and to consent to the immediate stay or dismissal of any proceedings brought in breach of this clause.
16.3 Carve-out for urgent and injunctive relief. Notwithstanding §16.2, we may apply to any court of competent jurisdiction, anywhere, for interim, urgent, injunctive, protective or equitable relief, and for the enforcement of any judgment or order, in particular to protect our intellectual property, confidential information or security, or to stop a breach of §5 (Acceptable use). Seeking such relief in another forum is not a waiver of §16.1 or §16.2 and does not confer jurisdiction on that forum over the merits.
16.4 Language of proceedings. The language of any proceedings is English.
16.5 CISG. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.6 No class or collective proceedings. Claims must be brought individually. No class, collective, group or representative proceedings are permitted, and the claims of different Customers or Users may not be consolidated or joined without our written consent.
16.7 Severance of this clause. If §16.2 is held unenforceable in whole or in part by any court, §16.1, §16.3 and §16.6 remain in full force, and the parties submit to the exclusive jurisdiction of the onshore Dubai Courts — that is, the courts of the Emirate of Dubai regulated under Dubai Law No. 6 of 2005 and Dubai Law No. 13 of 2016, and not the DIFC Courts — as the fallback forum.
17.1 Entire agreement. These Terms, together with any applicable DPA and order or checkout confirmation, are the entire agreement between the parties and supersede all prior discussions, proposals, marketing statements and representations. No statement made outside these Terms — including on our website, in a demo, or by any of our staff — forms part of the agreement or creates any warranty.
17.2 Customer terms do not apply. Any purchase order, vendor form, supplier code or other terms put forward by the Customer are rejected and have no effect, even if we do not object to them and even if we perform.
17.3 Assignment. The Customer may not assign these Terms without our written consent. We may assign or novate them freely, including on a reorganisation or sale of business.
17.4 Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or if that is not possible severed, and the remainder continues in force.
17.5 No waiver. Failure or delay in enforcing any provision is not a waiver of it.
17.6 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including infrastructure or provider failures, network or internet failures, cyber-attacks, power failures, acts of government, sanctions, war, civil unrest, epidemics or natural events.
17.7 No third-party beneficiaries. Except for our officers, employees and contractors under §11 and §12, no third party has any right to enforce these Terms.
17.8 Relationship. Nothing creates a partnership, joint venture, agency, franchise or employment relationship between the parties.
17.9 Notices. Notices to us must be sent to legal@faccilis.com. Notices to the Customer are sent to the email addresses of its Company Admins on record, or given as an in-app notice. Notices are deemed received on the day of sending.
17.10 Language. These Terms are drafted in English. If we provide a translation, the English version prevails.
